This Terms of Use Agreement (the "Agreement" or "Terms") is a legally binding agreement made between StartupSub, a company incorporated under the laws of the Democratic Socialist Republic of Sri Lanka, having its registered office in Puttalam, Sri Lanka ("StartupSub", "we", "us", or "our"), and you, whether personally or on behalf of an entity ("Client", "you", or "your"), concerning your access to and use of the startupsub.pro website and the StartupSub subscription service (together, the "Service").
In plain terms: StartupSub is a flat-fee monthly subscription for product development work. Your first seven (7) days are free; after that you pay USD 2,999 per month in advance each month. You submit as many build requests as you like, and we work through them one at a time and deliver them asynchronously. You can pause or cancel at any time. Payments are processed by PayPal; StartupSub is the seller and issues your receipt.
By subscribing to, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated here by reference. If you do not agree, you must not use the Service. Any obligation to pay StartupSub for services already rendered survives termination of this Agreement.
1. Who you are contracting with
The Service is provided by StartupSub, Puttalam, Sri Lanka. You can reach us at any time at startupsubpro@gmail.com; we aim to respond to all enquiries within two (2) business days.
StartupSub is the seller of record for every subscription purchased through this website. We provide the Service, invoice you, and remain responsible for support throughout your Subscription. Your contract for the Service is with us, not with any payment provider.
Payments are processed by PayPal (PayPal Pte. Ltd. and its affiliates, "PayPal"), which acts solely as our payment processor — it transmits and settles the payment, and does not become the seller of the Service. Because you approve and manage the subscription inside your PayPal account, your use of PayPal is also subject to PayPal's own User Agreement and Privacy Statement, available at paypal.com.
2. Definitions
- "Service" means the StartupSub monthly subscription under which StartupSub delivers website, mobile application, and AI development and related build services on a productized, request-based basis.
- "Subscription" means an active, paid StartupSub plan.
- "Request" means a discrete unit of work submitted by the Client through the designated project management platform (currently Plane).
- "Deliverables" means the source code, designs, original files, configurations, and other work product created by StartupSub for the Client under the Service.
- "Builder Squad" means the StartupSub team members assigned to fulfil the Client's Requests.
- "Billing Cycle" means the recurring one-month period that begins on the date of each successful payment.
- "Trial Period" means the seven (7) calendar days that begin on the date the Client approves their Subscription, during which the Service is provided at no charge and no payment is taken.
3. What the Service is
StartupSub is a monthly subscription that gives the Client access to StartupSub's development capacity for building websites, mobile applications, AI features, and related digital products. It is a service subscription — there is no physical product and nothing is shipped.
- Unlimited Requests, delivered one at a time. The Client may submit as many Requests as they wish. Requests are placed in a queue and worked on according to the Client's stated priority, one active Request at a time (or the number of concurrent Requests specified by the Client's plan).
- Async delivery. Work is managed and delivered asynchronously through the designated project management platform (currently Plane). The Client is responsible for maintaining access to this platform and responding to queries in a timely manner.
- No fixed project scope. The Service is a subscription for ongoing access to development capacity. It is not a fixed-scope, fixed-price project contract. Delivery timelines for any individual Request depend on its complexity and the queue.
- Good-faith scoping. StartupSub may determine, acting in good faith, whether a Request is reasonably deliverable within the Subscription, and may propose re-scoping or a separate quotation for work that materially exceeds it.
4. Subscription, billing & taxes
- The Service is billed on a recurring monthly basis at the plan price displayed at checkout (currently USD 2,999 per month, subject to change under the "Changes to the Service and pricing" section below). All prices are shown in US dollars.
- Free trial. Every new Subscription starts with a seven (7) day Trial Period. Nothing is charged during the Trial Period — you approve the subscription with PayPal when you sign up, but the first payment is only taken when the Trial Period ends. If you cancel before the Trial Period ends, no payment is taken at all. The Trial Period is available once per Client and does not apply to a Subscription that is restarted after cancellation.
- Payment is charged in advance at the start of each Billing Cycle, beginning on the day the Trial Period ends, and grants access to the Service for that cycle. Your Subscription then renews automatically each month until you pause or cancel it.
- Prices are stated exclusive of tax. Where StartupSub is required to charge sales tax, VAT, or GST on your Subscription, that amount will be shown and added before you approve the payment. Where the reverse-charge mechanism or a similar rule applies, you are responsible for accounting for the tax in your own jurisdiction. We issue a receipt for each payment.
- Payment is processed by PayPal. StartupSub does not receive, handle, or store your full payment card details — card and bank data are submitted directly to PayPal and its downstream payment providers.
- Charges from this website will normally appear on your card, bank, or PayPal statement as "PAYPAL *STARTUPSUB" or a similar PayPal descriptor. If you do not recognise a charge, please contact us before disputing it — see the Refund Policy.
- You are responsible for keeping a valid funding source on file in your PayPal account. If a renewal payment fails, PayPal may retry it in line with the plan's retry settings. Continued failure to pay may result in suspension or termination of the Service and pausing of all active Requests.
5. Pausing, cancelling & renewal
- Pause. Because work is not always needed for a full month, the Client may pause their Subscription and use the remaining paid days later. Pausing halts both billing and active work until the Subscription is resumed. Pausing is available after the first Billing Cycle.
- Cancellation. The Client may cancel at any time, with no cancellation fee and no notice period, either from their PayPal account (Settings → Payments → Automatic payments) or by emailing us at startupsubpro@gmail.com. Cancellation stops all future billing.
- Cancelling during the Trial Period stops the Subscription before any payment is taken, so there is nothing to refund. After the Trial Period, cancellation does not by itself entitle the Client to a refund of the current or any prior Billing Cycle. Refund entitlements are set out in full in our Refund Policy.
- After cancelling, access to the Service, the queue, and the project management platform continues until the end of the current paid period. Active Requests not completed within that period will not be delivered unless a new Billing Cycle is started.
6. Turnaround & delivery
Work begins as soon as your first Request is submitted, and in most cases within 48 hours of subscribing. Most individual builds are delivered within 3–7 business days.
These are good-faith estimates, not contractual commitments. StartupSub does not guarantee a specific turnaround time for any individual Request, as delivery depends on complexity, revisions, queue position, and the timeliness of Client input. Delays caused by the Client — including delayed feedback, missing assets, credentials, or approvals — extend delivery timelines accordingly.
7. Scope of services & limitations
Unless expressly agreed in writing, the Service includes development work as reasonably requested within the Subscription (websites, mobile apps, AI integrations, and related builds), together with reasonable revisions to that work.
The Service does not include, and StartupSub is not responsible for, the following unless separately agreed in writing:
- Ongoing maintenance, monitoring, or support of delivered work after the Subscription ends;
- Third-party costs of any kind (see the following section);
- Content creation, copywriting, or data entry beyond what is reasonably necessary to complete a build;
- Native iOS/Android engineering, enterprise infrastructure, advertising, SEO campaigns, or legal drafting, which are quoted separately;
- Legal, regulatory, tax, accounting, or compliance advice for the Client's business;
- Guaranteed business outcomes, revenue, rankings, conversions, or app-store approval;
- Migration, integration, or debugging of systems not built by StartupSub, beyond reasonable effort.
8. Third-party services & costs
Builds delivered under the Service frequently rely on third-party services, platforms, and licences. The Client is solely responsible for procuring and paying for all such third-party costs, which are separate from the subscription fee and are never refundable by StartupSub. These include but are not limited to:
- Domain names, web hosting, servers, and cloud infrastructure;
- API, LLM, or AI model usage credits (e.g., OpenAI, Anthropic, Google);
- Payment gateway fees and merchant accounts;
- App store developer accounts and submission fees (Apple App Store, Google Play);
- Commercial licences for fonts, images, plugins, libraries, or other assets;
- Any subscriptions or SaaS tools required to operate the delivered product.
9. Intellectual property (StartupSub property)
Except for the Deliverables assigned to the Client under the next section, the Service, the startupsub.pro website, and all source code, databases, functionality, software, designs, text, graphics, and the trademarks, service marks, and logos contained therein (the "Content" and "Marks") are owned or controlled by StartupSub and are protected by applicable copyright, trademark, and intellectual property laws. No part of the Content or Marks may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without StartupSub's express prior written permission.
StartupSub retains ownership of its pre-existing tools, frameworks, boilerplates, libraries, and know-how ("Pre-Existing IP") used in creating Deliverables, and grants the Client a non-exclusive, perpetual, worldwide licence to use such Pre-Existing IP solely as embedded within the delivered Deliverables.
10. Ownership of Deliverables
Subject to full payment of all fees due for the Billing Cycle in which a Deliverable is created, and subject to StartupSub's Pre-Existing IP rights, all Deliverables created specifically for the Client belong to the Client, who is the owner of the copyright in those Deliverables. To the extent any operation of law would vest ownership of a Deliverable in StartupSub, StartupSub irrevocably assigns its interest in that Deliverable to the Client upon full payment.
Until full payment for the relevant Billing Cycle is received, all Deliverables remain the property of StartupSub, and the Client has no right to use, deploy, or exploit them. If a refund is granted, all rights to work produced during the applicable period immediately revert to StartupSub, and the Client must cease all use of such materials.
The Client warrants that all materials, content, and assets provided to StartupSub for incorporation into a build are owned by the Client or properly licensed, and do not infringe or misappropriate any third party's rights, including intellectual property rights and rights of publicity.
11. AI features & outputs
Where the Service delivers AI-powered features or integrations, the Client acknowledges and agrees that:
- AI-generated outputs may be inaccurate, incomplete, or unpredictable, and StartupSub does not warrant the accuracy, reliability, legality, or fitness of any AI output;
- The Client is solely responsible for reviewing, testing, and validating AI features before relying on them in production, and for their end users' use of such features;
- The Client is responsible for ensuring their use of AI features complies with the terms of the underlying model providers and with all applicable laws, including data protection and privacy laws;
- StartupSub is not liable for any decisions made, or actions taken, by the Client or its users in reliance on AI outputs.
12. Refunds
Our full Refund Policy is published at startupsub.pro/refund and forms part of these Terms. In summary:
- 7-day free trial. You are not charged for your first seven (7) days. Cancel before the Trial Period ends and no payment is ever taken, so no refund is needed — you risk nothing.
- Once the Trial Period ends, and for every renewal payment after it, fees are non-refundable except where a refund is required by applicable law or is granted by StartupSub at its discretion.
- Nothing in these Terms limits any statutory cancellation or withdrawal right you may have as a consumer, including the 14-day right of withdrawal available to consumers in the EU and UK, subject to the conditions described in the Refund Policy.
- Refunds are issued by StartupSub through PayPal, back to the original payment method. Refund requests should be sent to startupsubpro@gmail.com.
13. Changes to the Service and pricing
StartupSub may change, modify, amend, or discontinue any part of the Service, the startupsub.pro website, or its pricing at its sole discretion. Where a pricing change affects an existing Client, StartupSub will give at least thirty (30) days' prior notice by email, and the new price will apply from the Client's next Billing Cycle. If you do not accept a price change, you may cancel before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of it.
We may also update these Terms from time to time. Material changes will be notified by email or by a notice on the website, and the "last updated" date at the top of this page will change. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Client representations
By using the Service, the Client represents and warrants that: they have the legal capacity to enter into this Agreement; they are at least 18 years old and not a minor in their jurisdiction of domicile; the billing and contact information they provide is accurate and belongs to them or to an entity they are authorised to bind; they will not use the Service for any illegal or unauthorized purpose; and their use of the Service will not violate any applicable law or regulation, including applicable sanctions and export-control laws.
15. Prohibited activities
The Client shall not: make any unauthorized use of the Service; interfere with, disrupt, or create an undue burden on StartupSub's systems, networks, or servers; attempt to decompile, disassemble, or reverse engineer any software comprising the Service (except the Client's own Deliverables); harass, intimidate, or threaten StartupSub's employees, contractors, or agents; use the Service to compete with StartupSub; submit Requests for unlawful, fraudulent, infringing, or malicious products; upload viruses or malicious code; or use the Service in any manner inconsistent with applicable law.
16. Client feedback
Any questions, comments, suggestions, or other feedback provided by the Client regarding the Service (a "Submission") — as distinct from the Deliverables owned by the Client — shall be owned by StartupSub, which may use and disseminate such Submissions for any lawful purpose without acknowledgment or compensation.
17. Confidentiality & NDA
Each party agrees to keep confidential any non-public business or technical information disclosed by the other in connection with the Service, and to use it only for the purpose of performing under this Agreement. The Client may request that the parties enter into a separate Non-Disclosure Agreement, which, once executed, will govern the treatment of confidential information and will void StartupSub's right to publicly showcase the Client's work.
18. Showcasing Client work
StartupSub may display and discuss work produced under the Service on its digital channels (including social media, its websites, and build-in-public content) for portfolio and marketing purposes, unless otherwise agreed in writing. The Client may void this right by entering into a Non-Disclosure Agreement with StartupSub or by notifying us in writing at startupsubpro@gmail.com.
19. Management & oversight
StartupSub may monitor the Service for violations of these Terms and take appropriate action, including restricting or suspending access, in response to any violation of these Terms or applicable law. Decisions regarding the management of the Service are made at StartupSub's discretion and are intended to protect StartupSub's rights and property and the integrity of the Service for all Clients.
20. Privacy
By using the Service, the Client agrees to our Privacy Policy, incorporated here by reference. The Client is responsible for ensuring that any personal data it provides to StartupSub, or has StartupSub process on its behalf, is handled in compliance with applicable data protection laws, including Sri Lanka's Personal Data Protection Act No. 9 of 2022 and, where relevant, the laws of the Client's own jurisdiction.
21. Service availability
StartupSub does not warrant that the Service or startupsub.pro will be available and accessible at all times. Interruptions, delays, or errors may occur due to hardware, software, third-party services, or other factors beyond StartupSub's control. The Client agrees that StartupSub shall not be liable for any loss, damage, or inconvenience caused by any inability to access or use the Service during such interruptions.
22. Disclaimer
The Service is provided on an "as-is" and "as-available" basis, and use of the Service is at the Client's sole risk. To the fullest extent permitted by law, StartupSub disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. StartupSub makes no warranties regarding the accuracy or completeness of any Deliverable or third-party service, and assumes no liability for errors, security breaches, data loss, or damages of any nature arising from the use of the Service.
Nothing in this section excludes or limits any warranty, guarantee, or right that cannot be excluded or limited under applicable consumer law.
23. Limitation of liability & indemnification
To the fullest extent permitted by law, StartupSub and its directors, employees, members, contractors, and agents shall not be liable to the Client or any third party for any indirect, consequential, incidental, special, or punitive damages, including lost profit, lost revenue, lost data, or legal costs, arising from the Client's use of the Service. StartupSub's total aggregate liability under this Agreement shall not exceed the amount paid by the Client to StartupSub in the one (1) month immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
The Client agrees to defend, indemnify, and hold harmless StartupSub and its officers, members, agents, employees, and contractors from any loss, damage, liability, claim, or demand (including reasonable legal fees) arising from: (1) the Client's use of the Service; (2) breach of these Terms; (3) breach of the Client's representations and warranties; or (4) the Client's violation of the rights of any third party, including intellectual property rights.
24. Electronic communications & signatures
The Client consents to receive electronic communications from StartupSub and agrees that all agreements, notices, disclosures, and communications sent electronically satisfy any legal requirement that such communications be in writing. The Client agrees to the use of electronic signatures, contracts, and records, and to electronic delivery of notices and records of transactions.
25. Governing law & dispute resolution
These Terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-law principles. This choice of law does not deprive a consumer of the protection of the mandatory laws of their country of habitual residence.
The parties will first attempt to resolve any dispute amicably through good-faith negotiation — please write to startupsubpro@gmail.com and we will work with you. Failing resolution, the dispute shall be subject to the exclusive jurisdiction of the competent courts of Sri Lanka, save where mandatory consumer law grants you the right to bring proceedings in your country of residence.
26. Referrals
Any referral or affiliate arrangement offered by StartupSub is subject to separate referral terms communicated at the time of the offer. StartupSub may administer referral tracking and payouts through a third-party partner.
27. Miscellaneous
These Terms, together with the Privacy Policy, the Refund Policy, and any other policies posted on startupsub.pro, constitute the entire agreement between the Client and StartupSub regarding the Service. Failure by StartupSub to enforce any right or provision is not a waiver of that right. If any provision is found unlawful, void, or unenforceable, it shall be severed without affecting the validity of the remaining provisions. The Client may not assign this Agreement without our written consent. Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between the parties.
